-1 Universal Mount (Can stick anywhere, but needs new double stick tape for bottom)

-1 Non-waterproof door (for better audio quality)
-1 Go Pro Camera case (shell)
-Miscellaneous screw mounts for a variety of mounting angles
-1 Charging Cord / Computer cord (Not pictured but comes in box)
-1 Tripod mount (I bought this extra piece for $7.99)

I know the difference between the two, and yes the 1080p ones are on sale for 170 since the release of the new ones.

. They retail for $240.00 on GoPro's website and in retail stores like best buy and whatnot. 
BTW - Does your local shop sell the Hero 2? I might be interested in buying if they have a website. Otherwise I was planning on buying the new Hero 2 from GoPro's website. $300 is not a bad deal for a super nice camera but I'd be curious if there is anyone else selling them cheaper.
